When and under which conditions can the Channel Agreement be terminated?

The JetBrains Channel Partner Agreement (GTCs Section 14) can be terminated under the following conditions:

  • For convenience (without cause): Either party can terminate the agreement by giving written notice (the notice period depends on partnership duration: one month in year one, two months in year two, three or more months thereafter).
  • For material breach: If one party materially breaches the GTCs, the other can terminate the agreement after giving 10 business days' written notice to remedy the breach. GTCs Section 14.3 lists examples of partner material breaches (e.g. not meeting eligibility/turnover, non-compliance, or failure to pay).
  • Immediately by JetBrains (severe breaches): JetBrains can immediately terminate the agreement for specific serious breaches listed in GTCs Section 14.4 (e.g. fraud, breaches of IP, confidentiality, export control, or data processing regulations, or a critical warranty breach).
  • Other causes for termination: 
    • Insolvency/illegality: Immediate termination is possible if a party becomes insolvent or if continuing the business becomes illegal (GTCs 14.6).
    • Change of control: JetBrains can immediately terminate the agreement if the partner undergoes a significant change of control without proper notification (GTCs 16.9).
